Terms of Service - Identity as a Service (TransUnion)

Welcome to Identity-as-a-Service, offered by IDmission, LLC. (“IDmission,” “we,” or “us”). This page describes the terms by which you may use our web and/or mobile software and services, which allow our business partners (“Clients”) to verify and vet the identities and credentials of individuals (collectively, the “Service”).

By accessing or using the Service, you signify that you have read, understood, and agree to be bound by this Terms of Service (the “Terms of Service”), whether or not you are a registered user of our Service. IDmission reserves the right to make unilateral modifications to these terms and will provide notice of these changes as described below.

Important Notice

PLEASE BE AWARE THAT SECTION 8 OF THESE TERMS OF SERVICE CONTAINS PROVISIONS GOVERNING HOW DISPUTES THAT YOU AND WE HAVE AGAINST EACH OTHER ARE RESOLVED. IT CONTAINS AN ARBITRATION AGREEMENT WHICH WILL REQUIRE DISPUTES BETWEEN US TO BE SUBMITTED TO BINDING AND FINAL ARBITRATION.

1. USE OF OUR SERVICE

Eligibility

These Terms of Service are a contract between you and IDmission. You must read and agree to these terms before using the Service. If you do not agree, you may not use the Service. You may use the Service only if you can form a binding contract with IDmission, and only in compliance with these Terms of Service and all applicable laws. Any use or access to the Service by anyone under 18 is strictly prohibited.

What is the Service?

The Service is a technology offering that makes it easier for our Clients to vet and verify information about individuals like you and to detect and deter any fraud or misuse. After we vet and verify the information you submit to us, we will share that information back to our Client.

The Service does not change anything else about your relationship with the applicable Client. You are ultimately responsible for your interactions with our Clients.

Service Rules

You agree not to engage in any prohibited activities, including: (i) copying or scraping the Service; (ii) using automated systems like robots or spiders; (iii) interfering with system integrity or security; (iv) overloading our infrastructure; (v) uploading invalid data; (vi) harvesting personal information; (vii) commercial solicitation; (viii) impersonation or fraud; (ix) bypassing access restrictions.

2. PROPRIETARY RIGHTS

The Service and all materials therein (software, images, text, logos, etc.) are the exclusive property of IDmission and its licensors. You agree not to sell, license, modify, distribute, copy, or create derivative works from any IDmission Content.

3. PRIVACY AND SECURITY

We care about the privacy of our Users. By using the Services, you understand our collection, use, and disclosure of your personal information as described in our Privacy Policy and Biometric Policy.

IDmission uses commercially reasonable physical, managerial, and technical safeguards to preserve the integrity and security of your personal information. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures.

4. THIRD-PARTY LINKS AND INFORMATION

The Service may contain links to third-party materials that are not owned or controlled by IDmission. IDmission does not endorse or assume responsibility for any such third-party sites. If you access a third-party website, you do so at your own risk.

5. INDEMNITY

You agree to defend and indemnify IDmission from claims arising from: (i) your use of the Service; (ii) violation of these Terms; (iii) violation of third-party rights; (iv) violation of laws; (v) misleading information provided by you; (vi) willful misconduct.

6. NO WARRANTY

The Service is provided on an “as is” and “as available” basis. Use of the Service is at your own risk. To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied.

IDmission does not warrant that the Service is accurate, reliable, or secure, or that it is free of viruses or other harmful components.

7. LIMITATION OF LIABILITY

In no event shall IDmission be liable for any indirect, punitive, incidental, or consequential damages. IDmission shall not be responsible for any damage resulting from hacking or unauthorized use.

IDmission's maximum liability for all claims shall not exceed the amount you paid to IDmission or $100.00, whichever is greater.

8. GOVERNING LAW AND ARBITRATION

Governing Law

These Terms shall be governed by the laws of the State of Colorado, without respect to its conflict of laws principles. You agree to submit to the personal jurisdiction of the courts located in Colorado.

Arbitration

For any dispute with IDmission, you agree to first attempt to resolve it informally. If not resolved after 60 days, the dispute shall be referred to an Arbitrator appointed under the Arbitration and Conciliation Act, 1996.

Class Action Waiver

You are waiving the right to participate in a class action or to have a trial by jury. All claims must be brought in the parties' individual capacity.

9. GENERAL

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you. IDmission reserves the right to modify these Terms at any time. Your continued use of the Service constitutes acceptance of any such changes.
